Section 148
Annual general meeting not to be held
: (1) Notwithstanding anything written elsewhere in this Act, if the unanimous agreement between the shareholders of a private company states that the company will not hold an annual general meeting, such private company shall not hold an annual general meeting during the period of that agreement.
(2) If there is a unanimous agreement not to hold an annual general meeting in accordance with sub-section (1), the company shall also make arrangements regarding the decision-making procedure and the decision-making authority on matters to be decided by the general meeting in accordance with this Act.
